Terms of Service

1. Agreement to Terms
By creating an account or using SoarBill (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
The Service is operated by Greenycode, a company registered in Sofia, Bulgaria ("Greenycode", "we", "us", "our"). These Terms constitute a legally binding agreement between you and Greenycode. You can reach us at support@soarbill.com.
2. Service Description
SoarBill is a cloud-based SaaS platform for freelancers and contractors. The Service includes:
- Time tracking and timesheet management
- Client and project management
- Professional invoice generation (PDF)
- Email delivery of invoices to clients
- Reports and analytics
- Google Sign-In for account registration and authentication
- Gmail integration for sending invoices from your own email address (Pro plan)
We reserve the right to add, modify, or discontinue features with reasonable notice. We will not materially reduce the core functionality of a paid plan without offering affected subscribers a pro-rated refund or the option to cancel.
3. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement. The Service is intended for use in a professional capacity. It is not directed at consumers acting outside a trade, business, or profession.
4. Account Registration
You may create an account by registering with an email address and password, or by signing in with your Google account via OAuth 2.0 ("Google Sign-In"). You are responsible for providing accurate information and for maintaining the security of your account credentials, regardless of the registration method used.
When you register or sign in using Google Sign-In, you authorise Greenycode to receive your name, email address, and a unique Google account identifier from Google, as described in our Privacy Policy. Your use of Google's services remains subject to Google's Terms of Service.
Notify us immediately at support@soarbill.com if you suspect unauthorised access to your account. You may not create accounts for others without their consent, or use automated means to create accounts.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law
- Generate fraudulent invoices or misrepresent financial information
- Attempt to gain unauthorised access to any part of the Service or its systems
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or offer the Service commercially without our express written consent
- Upload malicious code, viruses, or anything that interferes with the Service's operation
- Use the Service to send unsolicited communications (spam)
- Use the Gmail integration to send any communications other than legitimate invoice-related emails to your own clients
We reserve the right to suspend accounts that violate these rules, with or without prior notice depending on the severity of the violation.
6. Third-Party Integrations and Services
The Service relies on certain third-party providers. Greenycode is not responsible for the availability, performance, or actions of any third-party service.
Google Sign-In: If you choose to register or authenticate using Google Sign-In, your use of Google's services is governed by Google's Terms of Service and Google's Privacy Policy. Unavailability of Google's authentication service does not entitle you to a refund or service credit.
Gmail Integration (Pro plan): If you connect your Gmail account to send invoices, you grant Greenycode permission to send emails on your behalf via the Gmail API. You may revoke this permission at any time from Settings → Email Provider. You are responsible for ensuring that emails sent through this integration comply with applicable law, including anti-spam regulations. Greenycode is not liable for any consequences arising from your misuse of this integration.
Stripe: Payments are processed by Stripe Payments Europe, Ltd. (Dublin, Ireland). Your payment data is handled directly by Stripe and is subject to Stripe's Privacy Policy. Greenycode does not store your full card details.
Other providers: The Service uses additional infrastructure providers (email delivery, error monitoring, file storage, hosting) as described in our Privacy Policy. Disruption to any of these services may temporarily affect Service availability.
7. Plans and Features
The Service is available under two plans:
Free Plan — €0/month
- Time tracking
- Up to 5 invoices per month
- PDF generation
- Basic reports
- SoarBill branding on invoices
Pro Plan — €9/month
- Everything in Free
- Unlimited invoices
- Custom branding (own logo)
- Gmail integration (send invoices from your own email)
- Advanced reports
- Priority support
We reserve the right to modify plan features and pricing. For existing paid subscribers, we will provide at least 30 days' notice of any price increase, and you may cancel before the new price takes effect.
8. Payment and Billing
Paid subscriptions are processed through Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis (monthly or annually, depending on your chosen billing cycle).
- Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Failed payments: If payment fails, we will attempt to notify you. Your account may be downgraded to the Free plan after a reasonable grace period.
- Right of withdrawal: In accordance with the EU Digital Content Directive (2019/770), by activating a paid subscription you expressly request immediate access to the digital service and acknowledge that this waives your 14-day right of withdrawal under EU consumer law. This does not affect any other rights you may have under applicable law. Fees paid are otherwise non-refundable except where required by law or as stated in these Terms.
9. Account Cancellation and Deletion
Cancelling your subscription: You may cancel your Pro subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You retain Pro access until then.
Deleting your account: You may request permanent account deletion from Settings → Account → Data & Privacy. Upon confirmation:
- Your Pro subscription (if active) is cancelled immediately with no refund for the remaining period.
- Any connected Gmail access tokens are revoked and permanently deleted immediately.
- Your account and all associated data are permanently deleted after a 30-day grace period. You cannot log in during this period.
- Deletion is irreversible. Deleted data cannot be recovered. We recommend exporting your data before deletion.
10. Suspension and Termination by Greenycode
We reserve the right to suspend or terminate your account if:
- You materially violate these Terms (immediate suspension may apply for serious violations)
- We are required to do so by law or court order
- Continued access poses a security risk to the Service or other users
For non-serious violations, we will generally provide a warning and reasonable opportunity to remedy the breach before suspending your account. In the event of termination by Greenycode without cause, we will provide a pro-rated refund for any unused prepaid period. Termination for cause does not entitle you to a refund.
11. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. The Service is provided on an "as available" basis.
- We may perform scheduled maintenance that temporarily reduces or interrupts access to the Service. We will endeavour to schedule maintenance during off-peak hours and provide advance notice where possible.
- We are not liable for downtime caused by circumstances beyond our reasonable control, including failures of third-party infrastructure providers, internet outages, or events described in Section 16 (Force Majeure).
- We do not offer a contractual uptime guarantee or service-level agreement (SLA) at this time.
12. Data and Backups
We take reasonable measures to protect and back up data stored within the Service. However:
- We do not guarantee that backups will be available or recoverable in all circumstances.
- You are responsible for maintaining your own copies of any data you consider critical. We recommend regularly exporting your invoices, time entries, and client data using the export features available within the Service.
- Greenycode shall not be liable for any loss of data resulting from circumstances beyond our reasonable control, including hardware failure, accidental deletion by you, or actions of third-party providers.
13. Intellectual Property
Greenycode owns the SoarBill platform, its software, design, branding, and all related intellectual property.
You own all data you input into the Service — your invoices, time entries, client data, and business information. We do not claim any ownership over your content.
You grant Greenycode a limited, non-exclusive, royalty-free licence to store, process, and display your content solely for the purpose of providing the Service to you. This licence terminates when you delete your account.
14. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be error-free, uninterrupted, secure, or that any defects will be corrected. We are not responsible for the availability or performance of any third-party services that you choose to integrate with SoarBill.
Nothing in this section excludes warranties that cannot be excluded by law in your jurisdiction.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Greenycode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunities, arising from your use of or inability to use the Service.
Our total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total amount you paid Greenycode in the 12 months preceding the claim, or (b) €50.
Nothing in these Terms excludes or limits liability for: (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by negligence; (iii) any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights.
16. Force Majeure
Greenycode shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government or regulatory authority, war, civil unrest, pandemics, widespread internet outages, cyberattacks on our infrastructure providers, or failures of third-party cloud or telecommunications providers.
In such circumstances, we will use reasonable efforts to restore the Service as soon as practicable and will communicate material disruptions to affected users.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Bulgaria and applicable European Union law, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Bulgaria, without prejudice to any mandatory consumer protection rights you may have in your country of residence.
If you are an EU consumer, you may also use the EU Online Dispute Resolution platform.
18. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or an in-app notification before the changes take effect. If you do not agree with the updated Terms, you may cancel your account before the effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
